Terms of Service

These Terms of Service ("Terms") are an agreement between you and LUX ARG LLC ("Easy Docs," "we," "us," or "our"). They govern your access to Easy Docs Templates, our website, templates, document-generation tools, exports, and related services (collectively, the "Service"). By creating an account, starting a trial, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy.

If you use the Service for an organization, you represent that you have authority to bind that organization to these Terms.

The Service is intended only for people who are at least 18 years old and located in the United States. You may use the Service only for lawful personal, business, or professional purposes and in compliance with these Terms.

You may not use the Service to:

• commit fraud, impersonate another person, or submit false or misleading information;
• violate privacy, intellectual-property, sanctions, or other applicable laws;
• scrape, copy, reverse engineer, resell, sublicense, or exploit our templates or Service;
• interfere with the security, availability, or operation of the Service; or
• create documents for an unlawful purpose.

Easy Docs provides general-purpose templates and tools to help you organize and generate documents more efficiently. We do not evaluate your situation, recommend a document, interpret laws, verify compliance, review legal sufficiency, or represent you. Your use of the Service does not create an attorney-client, fiduciary, advisory, or other professional relationship with us.

Laws, regulations, and document requirements vary by jurisdiction and change over time. You are solely responsible for deciding whether a document is appropriate for your needs and for obtaining qualified legal advice when needed.

Before creating or reopening a draft from the template catalog, you must affirmatively acknowledge the document disclaimer shown by the Service. We record the disclaimer version and acceptance time with that document. This acknowledgment confirms that you understand the limits of the Service; it does not waive rights or remedies that cannot lawfully be waived.

"Your Content" means the information, names, data, and instructions you enter into the Service and the documents you generate. You retain your rights in Your Content. You grant us a limited, non-exclusive right to host, process, reproduce, and transmit Your Content only as necessary to operate, secure, support, and improve the Service.

You are responsible for the accuracy, completeness, legality, and permissions for Your Content, including personal information about third parties. You represent that you have all rights, notices, and permissions necessary to submit and use it through the Service. Do not enter information that you are not authorized to use.

Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the templates solely to create documents for your own lawful business or professional purposes. Easy Docs and its licensors retain all rights in the Service, templates, branding, software, and related materials not expressly granted to you.

We may offer a seven-day free trial that requires a valid payment method. Unless you cancel before the trial ends, your selected subscription begins after the trial and Stripe will charge the payment method on file at the price and frequency shown at checkout. Subscription fees renew automatically until you cancel. Each account may receive only one free trial. If you cancel that trial and subscribe again, the new subscription begins as a paid subscription without another trial period.

You may cancel at any time from your account settings. Cancellation stops future renewal charges but does not create a refund for amounts already paid, except where required by law or where we confirm a duplicate charge, billing error, or error caused by us.

No-refund use rule. Once a paid subscription has been used to create a document, fees for that paid period are non-refundable, subject to the exceptions above and any non-waivable consumer rights. A document is "created" when the Service creates or reopens a saved document draft from a template, even before generation, export, or download.

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you violated these Terms, created risk for the Service or others, failed to pay amounts due, or if required by law. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions.

THE SERVICE, TEMPLATES, AND GENERATED DOCUMENTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUX ARG LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so these limits apply only to the extent permitted by law.

You will defend, indemnify, and hold harmless LUX ARG LLC and its members, managers, employees, contractors, and suppliers from claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of another person's rights or applicable law.

Except for a claim eligible for small-claims court or a request for temporary or permanent injunctive relief to protect intellectual-property rights, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration rather than in court. Arbitration will be administered by the American Arbitration Association under its applicable consumer arbitration rules, unless the parties agree otherwise.

YOU AND LUX ARG LLC AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. To the extent permitted by law, you and we waive the right to a jury trial.

You may opt out of this arbitration agreement within 30 days after first accepting these Terms by emailing easydocstemplates0@gmail.com with the subject line "Arbitration Opt-Out," your full name, account email, and a clear statement that you wish to opt out. Opting out will not affect any other part of these Terms.

Wyoming law governs these Terms and any dispute, without regard to conflict-of-law principles, except that mandatory consumer-protection laws of your state of residence continue to apply where they cannot be waived. For any matter permitted to proceed in court, you and we consent to the exclusive jurisdiction of the state or federal courts located in Wyoming, subject to applicable small-claims court rules.

We may update these Terms as the Service or law changes. We will post the updated effective date and, when changes are material, provide additional notice or request renewed acceptance as required. Continued use after an updated effective date means you accept the updated Terms to the extent permitted by law.
